Instant Market Value vs. Private Sale Estimate

I get two different values for IMV and PSE and I'm wondering which one is used
as a basis for qualifying the deal (great, good, fair, etc.) for the car I'm about to
sell. Also, why are they different?

The IMV is a price comparison to other similar cars for sale.
