Key fob will not operate, guages flutter when key removed, car wont start

Car drove fine, then when I stopped and parked, the key fob would not lock the car.  I
opened car door & theft alarm started buzzing (not the normal alarm or alert noise). Car
guages fluttered without key in iginition.  The only way to stop the buzzing was to
switch the car onto the "on" position, but engine would not turn over (or show any
signs of life). I replaced the battery 2 months ago.  Decided to jump battery anyway,
the buzzing stopped, and the car started fine.  Anyone have any ideas?
